This Sub-Agent Agreement outlines the terms and conditions between Shipside Travel Group (“Primary Agent”) and the individual signing below (“Sub-Agent”) regarding membership and booking privileges under Nexion Travel Group.
PARTIES
This Agreement is between Shipside Travel Group and the Sub-Agent signing below.
The Sub-Agent is granted the right to book travel under Nexion Travel Group using the credentials and resources provided through Shipside Travel Group.
MEMBERSHIP AND FEES
The Sub-Agent must maintain an active Launch Plan membership with Shipside Travel Group.
Launch Plan Fees:
Monthly Membership Fee: $39 per month*
One-Time Setup Fee: $199*
*The standard pricing listed above may be reduced by an authorized promotion, discount, or special offer from Shipside Travel Group. Any approved promotional pricing will be reflected at checkout and will not change the remaining terms of this Agreement.
All setup fees and membership payments, including any discounted or promotional amounts, are non-refundable.
Failure to maintain an active membership, including non-payment, may result in the immediate suspension or termination of the Sub-Agent’s credentials, booking privileges, and this Agreement. Shipside Travel Group may provide a 10-day courtesy period for missed or failed payments but is not required to do so.
COMMISSION STRUCTURE AND PAYOUTS
The Sub-Agent will earn commissions on eligible travel bookings made using their assigned credentials.
Commission Split:
80% to the Sub-Agent
20% to Shipside Travel Group
Commissions are paid every Tuesday, provided that all of the following requirements have been met:
The client’s trip has been paid in full.
The client has departed for the trip.
Shipside Travel Group has received the commission payment from the supplier.
The Sub-Agent is active and in good standing with Shipside Travel Group at the time the supplier commission is received and at the time of payout.
The Sub-Agent is individually responsible for monitoring their bookings and confirming that each applicable supplier commission has been received.
Shipside Travel Group is not responsible for paying commissions that have not yet been received from the supplier.
All commissions are subject to supplier adjustments, recalls, reductions, refunds, cancellations, chargebacks, or other corrections.
If a commission has already been paid to the Sub-Agent and the related booking is later canceled, refunded, recalled, reduced, or charged back, the Sub-Agent agrees to repay the applicable commission amount to Shipside Travel Group upon request.
Shipside Travel Group may deduct or offset any amount owed by the Sub-Agent from future commissions or other amounts otherwise payable to the Sub-Agent.
BOOKING PRIVILEGES
The Sub-Agent will have access to the Nexion Travel Group booking platform, supplier rates, training, and available resources.
All credentials are issued solely for the use of the Sub-Agent and may not be shared, transferred, sold, or used by another person.
The Sub-Agent must maintain an active Launch Plan membership to retain booking privileges.
SUB-AGENT RESPONSIBILITIES
The Sub-Agent agrees to:
Market and sell travel professionally, accurately, and ethically.
Comply with all supplier policies, procedures, payment requirements, and Nexion Travel Group requirements.
Protect all client, supplier, and company information.
Use booking credentials only for authorized business purposes.
Maintain accurate records relating to clients, reservations, payments, and commissions.
Monitor the status of their bookings and supplier commission payments.
Maintain an active membership and remain in good standing with Shipside Travel Group.
The Sub-Agent is responsible for their own taxes, licenses, insurance, business expenses, and any other obligations related to operating as an independent travel professional.
INDEPENDENT CONTRACTOR STATUS
The Sub-Agent is an independent contractor and is not an employee, partner, representative, or joint venture of Shipside Travel Group.
Nothing in this Agreement creates an employment relationship, partnership, franchise, or joint venture between the parties.
The Sub-Agent is not authorized to enter into agreements, make promises, or accept obligations on behalf of Shipside Travel Group unless written authorization has been provided.
TERMINATION, BOOKINGS, AND FINANCIAL OBLIGATIONS
This is an at-will Agreement and may be terminated at any time by either party, with or without cause.
If the Sub-Agent cancels their membership or this Agreement is terminated for any reason:
All active, existing, pending, and future bookings and reservations associated with the Sub-Agent will remain with Shipside Travel Group.
The Sub-Agent relinquishes all rights and control relating to those bookings, reservations, clients, and associated commissions.
All unpaid, pending, and future commissions are forfeited.
No additional commissions, bonuses, incentives, convention-related payments, or other compensation will be paid after the Sub-Agent’s membership has been canceled or terminated.
The Sub-Agent will not be entitled to commissions received by Shipside Travel Group after the date of cancellation or termination, even when the related booking was originally created by the Sub-Agent.
Any unpaid balances, chargebacks, commission recalls, supplier penalties, refunds, or other financial obligations owed by the Sub-Agent remain due after termination.
Shipside Travel Group may pursue collection or other remedies permitted by law for any outstanding balance.
If the Sub-Agent rejoins after cancellation or termination, they must complete the onboarding process again and pay the applicable setup fee and membership fees in effect at that time.
NON-REFUNDABLE FEES
All amounts paid to Shipside Travel Group, including the standard $199 setup fee, monthly membership payments, and any discounted or promotional amounts, are non-refundable under any circumstances.
ACKNOWLEDGMENT
By signing below, the Sub-Agent confirms that they have read, understood, and agreed to all terms of this Launch Plan Sub-Agent Agreement.
